Terms of Service and Subscription Terms

These Terms of Service (“Terms”) govern your use of SeedLink, a platform operated by SeedLink Inc. (“SeedLink,” “we,” or “us”). By accessing or using our services at www.seedlink.app, you agree to these Terms, our Privacy Policy, and any additional policies referenced.

1. Eligibility and Account Registration

You must be at least 18 years old and legally able to form a contract to use SeedLink.
You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.

2. Use of Services

You agree to use the Services in compliance with applicable laws and these Terms.
You may not use the Services to solicit other users outside the platform unless permitted (see Section 6).

3. User Content

You retain ownership of content you submit (“User Content”), but grant us a worldwide, royalty-free, non-exclusive license to use, host, display, and reproduce your content to operate and improve the platform.
You must not upload or transmit unlawful, harmful, or infringing content.

4. Purchases, Payments, and Subscriptions

Provide valid payment information and authorize charges per your plan.

• All fees are in U.S. Dollars unless otherwise specified.

• Subscription plans auto-renew unless canceled before the next billing cycle.

• A 7-day refund period is available for paid plans. After that, all sales are final unless otherwise agreed in writing.

• Changes to fees will be notified in advance and apply at the start of your next billing cycle.

5. Trial Access

Trial users may access paid features at no cost for a limited period. Trial access may be revoked at any time.
Upon expiration, access will revert to the free plan unless upgraded.

6. Non-Solicitation & Opt-Out Fee

To preserve the marketplace’s integrity:

You agree not to solicit or engage another user (founder or talent) outside the platform for 24 months from introduction, unless:

• The relationship predated SeedLink use;

• A job was posted publicly and discovered independently; or

• You pay a $50,000 opt-out fee to SeedLink.

⚠️ To pay the opt-out fee, contact help@seedlink.app with your request. We'll provide payment instructions and finalize the agreement.

7. Portfolio Use and Marketing

Unless you opt out:

You grant SeedLink the right to use completed deliverables, your company name/logo, and testimonials in marketing, presentations, or case studies.
To opt out, email help@seedlink.app with subject line: “Portfolio Opt-Out”.

8. Confidentiality & Work Product Ownership

Confidential information exchanged between users must remain confidential.
Unless otherwise agreed in writing, all deliverables created in paid engagements are “work made for hire” and belong to the paying party once payment is complete.
SeedLink does not own deliverables exchanged between users.

9. Feedback and Suggestions

Feedback or suggestions you provide may be used by SeedLink without restriction or compensation.
You waive any rights or claims to such usage.

10. Termination and Suspension

We may suspend or terminate your access for violations.
No refunds will be issued for termination due to violations.
You may cancel anytime via your dashboard or by contacting help@seedlink.app.

11. Disclaimers

The Services are provided “as is.” We make no guarantees of uninterrupted access or outcomes. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

SeedLink is not liable for indirect or consequential damages.
Total liability will not exceed the greater of $100 or the amount paid by you in the 3 months prior to the claim.

13. Governing Law and Dispute Resolution

These Terms are governed by Delaware law.
All disputes shall be resolved by binding arbitration through the American Arbitration Association (AAA).
You waive any right to a jury trial or class action. Each party is responsible for its own legal fees unless otherwise required by law.
